1. Agreement
These Terms of Service (“Terms”) govern your use of the SmartSchool websites, applications, APIs, and related services (collectively, the “Services”) operated by SmartSchool Technologies Ltd. or the applicable contracting entity (“SmartSchool,” “we,” “us”). If you are using the Services on behalf of a school, business, or other organisation, you represent that you have authority to bind that organisation, and “you” includes the organisation.
2. Description of the Services
SmartSchool provides cloud-based school management software, including tools for administration, academics, fees, communications, reporting, and related features as described on our website or in your order form. We may modify, add, or discontinue features with reasonable notice where practicable.
3. Accounts and access
You must provide accurate registration information and keep credentials confidential. You are responsible for all activity under your account. Notify us promptly of any unauthorised use. We may suspend or terminate accounts that violate these Terms or pose a security risk.
4. Customer data and privacy
You retain ownership of data you submit to the Services (“Customer Data”). You grant us a licence to host, process, back up, and display Customer Data solely to provide and improve the Services and as described in our Privacy Policy. You are responsible for the lawfulness of Customer Data and for obtaining necessary consents, including for minors where your school collects such data. Our processing of personal data is further described in the Privacy Policy and, where applicable, a data processing agreement with your institution.
5. Acceptable use
You agree not to: (a) misuse the Services or attempt to gain unauthorised access; (b) interfere with or disrupt the integrity or performance of the Services; (c) use the Services to send unlawful, harassing, or malicious content; (d) reverse engineer the Services except where law permits; (e) resell or sublicense the Services without our written consent; (f) use the Services in violation of applicable law, including Nigerian cybercrime and data protection requirements.
6. Subscriptions, fees, and taxes
Paid plans are subject to the fees and billing cycle stated at purchase or in your agreement. Fees are generally non-refundable except as required by law or expressly stated. You are responsible for applicable taxes. Late payment may result in suspension of access. Free trials or promotional access may be limited or withdrawn at our discretion.
7. Intellectual property
SmartSchool and its licensors own the Services, software, branding, documentation, and related intellectual property. Except for the limited right to use the Services under these Terms, no rights are granted. Feedback you provide may be used by us without obligation to you.
8. Third-party services
The Services may integrate with third-party products (e.g. payment gateways, SMS providers). Those services are governed by the third party’s terms; we are not responsible for their availability or practices.
9. Warranties
The Services are provided “as is” and “as available” to the fullest extent permitted by law. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement where allowed. We do not warrant that the Services will be uninterrupted or error-free.
10. Limitation of liability
To the maximum extent permitted by applicable law, SmartSchool and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Our aggregate liability arising out of these Terms or the Services will not exceed the greater of (a) the fees you paid to us in the twelve (12) months before the claim, or (b) where no fees apply, a reasonable capped amount, except where liability cannot be excluded under Nigerian law (including death or personal injury caused by negligence, fraud, or other non-waivable rights).
11. Indemnity
You will defend and indemnify SmartSchool against claims arising from Customer Data, your use of the Services in breach of these Terms, or your violation of law or third-party rights, subject to our prompt Notificationand reasonable cooperation.
12. Term and termination
These Terms remain in effect while you use the Services. We may suspend or terminate access for breach, non-payment, or risk to the platform. Upon termination, your right to use the Services ceases; we will handle Customer Data export and deletion as set out in your agreement or our standard retention practices. Provisions that by nature should survive (e.g. liability limits, indemnity, governing law) will survive.
13. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law rules. Courts in Nigeria will have exclusive jurisdiction, subject to any mandatory consumer protections that apply to you.
14. Changes
We may update these Terms by posting a revised version on this page. Material changes may be communicated by email or in-product notice. Continued use after the effective date constitutes acceptance of the updated Terms.
